General terms and conditions for delivery and payment for Euro Mode Donner GmbH

1. Deliveries are made only to verified stores with proof of a trade license.
2. The buyer undertakes not to sell the goods in e-commerce on transport. Failure to comply with the aforementioned obligation entitles the Seller to withdraw from the purchase agreement.
3. All offers are non-binding. We reserve the right to prior sale.
4. All listed prices are exclusive of Shipping and VAT, which will be added separately.
5. To secure timely payment, we can demand our customer’s Credit card data.
6. Payment is made for domestic customers at the latest after 60 days and for foreign customers not later than 60 days from date of invoice. Payment is made to our bank account, with credit card or PayPal. The following payment terms will be applied: Payment within 10 days from date of invoice with 4% discount, Payment within 30 days with 2% cash discount. Payment after 30 days, Neto sum is payable. After 60 days have elapsed, the customer is legally registered in delay. In the case of default, we have the right, without any delay, to assert a distortion-harm. This is settled from the interest of 1% per month and the out-of-court collection expenses, according to the tariff of the German standards for lawyers, After 30 days, net rental is payable.
7. We reserve the right; especially for new customers, that the delivery only takes place after payment in advance has been achieved.
8. Partial deliveries are permitted; delivery dates are only approximate and are binding. Failure to meet the delivery date will not result in damages.
9. Packaging – and shipping costs within Germany amount to 10 Euro per package. Shipping for abroad upon request.
10. Complaints must be reported immediately within 5 days after delivery, otherwise the goods are considered approved. Not externally visible defects can only be considered within the 14 days after receipt.
11. All goods remain the property of Euro Mode Donner GmbH until all outstanding claims have been paid in full. As long as the retention of title exists, the purchaser may not dispose of the object of purchase or allow third parties to use it contractually. We refer to the extended retention of title.
12. Only the conditions of Euro Mode Donner GmbH solely apply.
13. German law applies exclusively. Place of performance and exclusive place of jurisdiction for deliveries and payments is Westerburg, Germany.
